Section 01
Acceptance of Terms
Agreement to Terms
By accessing or using Zynfos Solutions' website, platform, or services, you agree to be bound by these Terms of Service and our Privacy Policy. If you disagree, please discontinue use immediately.
Eligibility
You must be at least 18 years of age or have the legal authority to enter contracts on behalf of your organisation to use our services.
Modifications
We reserve the right to update these terms at any time. We will notify users of material changes via email or a prominent notice on our website. Continued use after changes constitutes acceptance.
Entire Agreement
These Terms, together with our Privacy Policy and any signed Statement of Work, constitute the entire agreement between you and Zynfos Solutions for the subject matter herein.
Section 02
Services & Engagement
Scope of Work
All services are delivered as agreed in a signed Statement of Work (SOW) or project proposal. Changes to scope must be documented and agreed upon in writing by both parties before commencement.
Client Responsibilities
You agree to provide timely feedback, access to required systems, accurate information, and necessary approvals. Delays caused by client non-responsiveness may affect project timelines at no fault of Zynfos.
Internship Programme
Interns agree to complete assigned tasks professionally, maintain confidentiality of proprietary information, attend required sessions, and uphold Zynfos' code of conduct throughout their engagement.
Course Enrolment
Course access is granted for individual use only upon payment confirmation. Sharing login credentials or distributing course content to third parties is strictly prohibited and may result in immediate account termination.
Section 03
Payment & Billing
Payment Terms
Unless otherwise agreed in writing, a 50% advance payment is required before project commencement, with the balance due upon delivery or as per the agreed milestone payment schedule.
Late Payments
Invoices unpaid 14 days past the due date may incur a late fee of 1.5% per month. We reserve the right to pause service delivery until outstanding balances are settled.
Refund Policy
Advance payments for services are non-refundable once work has commenced. Course fees are refundable within 7 days of purchase only if no course content has been accessed.
Taxes & GST
All prices are exclusive of applicable taxes including GST. Taxes will be itemised on invoices as required by Indian tax regulations. Clients are responsible for their own applicable withholding taxes.
Section 04
Intellectual Property
Client Ownership on Full Payment
Upon receipt of full payment, clients receive ownership of all custom-developed deliverables specified in the SOW — including source code, designs, and documentation.
Zynfos Pre-existing IP
We retain ownership of all pre-existing tools, frameworks, libraries, boilerplates, and methodologies. These are licensed (not sold) to clients solely for use within the delivered product.
Portfolio & Case Study Rights
We reserve the right to reference completed projects in our portfolio and marketing materials unless the client requests confidentiality in writing prior to project commencement.
Course Content
All course materials, videos, assignments, quizzes, and platform content are the exclusive intellectual property of Zynfos Solutions and may not be reproduced, distributed, or resold.
Section 05
Limitation of Liability
No Guarantee of Outcomes
While we deliver high-quality work, we do not guarantee specific business outcomes, revenue results, or technical performance beyond what is explicitly specified in a signed SOW.
Liability Cap
Our total liability for any claim arising from our services shall not exceed the total fees paid by the client in the 3 months immediately preceding the claim.
Exclusion of Consequential Damages
In no event shall Zynfos Solutions be liable for indirect, incidental, special, or consequential damages, including loss of profits or data, even if advised of such possibility.
Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control — including natural disasters, power failures, internet outages, cyberattacks, or government actions.
Section 06
Governing Law & Disputes
Jurisdiction
These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.
Good-Faith Negotiation
Before pursuing formal legal action, both parties agree to attempt resolution through good-faith negotiation for a minimum period of 30 calendar days.
Arbitration
If good-faith negotiation fails, disputes may be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996 of India, with proceedings held in Chennai.
Severability
If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
Important Notice
These Terms of Service constitute the entire legal agreement between you and Zynfos Solutions regarding your use of our services, and supersede all prior or contemporaneous agreements. By engaging our services, you acknowledge that you have read, understood, and unconditionally agree to these terms.
